Terms of Service

These Terms of Service ("Terms") govern access to and use of NeverMiss (the "Service"), operated by NeverMiss ("we," "us," or "our"). By signing up for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What NeverMiss Does

NeverMiss connects to a business's existing phone number through our telephony partner. When a call to that number goes unanswered, NeverMiss automatically sends the caller a WhatsApp message on behalf of the business, and guides them through an enquiry or booking flow. No booking is confirmed without explicit approval from the business owner or an authorized member of their team.

2. Eligibility and Accounts

You must be authorized to act on behalf of the business you register, and to connect that business's phone number and WhatsApp account to the Service. You're responsible for keeping your account credentials secure and for all activity that happens under your account.

3. Subscription and Payment

NeverMiss is offered on a subscription basis, currently starting at ₹1,999 per month, with no setup fee and no lock-in period. You may cancel at any time; cancellation takes effect at the end of your current billing cycle, and we do not provide refunds for partial billing periods except where required by law. We may change pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new pricing.

4. Bookings and Owner Approval

NeverMiss facilitates communication and enquiry collection between a caller and a business. The business owner or their authorized staff is solely responsible for reviewing, approving, pricing, and fulfilling any booking made through the Service. NeverMiss is not a party to the booking itself and is not responsible for room availability, pricing accuracy, or the business's fulfillment of a confirmed booking.

5. WhatsApp and Third-Party Platforms

The Service relies on WhatsApp's messaging platform (operated by Meta) and on third-party telephony providers to detect missed calls and deliver messages. Your use of WhatsApp messaging through NeverMiss is also subject to WhatsApp's Business Messaging Policy. We do not control, and are not responsible for, outages, policy changes, or message delivery failures caused by WhatsApp, Meta, or our telephony providers.

6. Your Responsibilities

You agree to provide accurate business information, to have the right to connect the phone number and WhatsApp account you register, and to comply with applicable consumer protection, telecom, and data protection laws in the jurisdictions where you operate. You agree not to use the Service to send unsolicited or unlawful messages.

7. Data and Privacy

Our collection and use of personal data, including caller and customer information processed through WhatsApp messaging, is described in our Privacy Policy. For instructions on requesting deletion of your data, see our Data Deletion Instructions.

8. Service Availability

We aim to keep the Service available and reliable, but we don't guarantee uninterrupted access. The Service depends on third-party infrastructure outside our control, and we may suspend or modify features with reasonable notice where practical.

9. Limitation of Liability

To the extent permitted by law, NeverMiss is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including lost bookings, lost revenue, or missed messages caused by third-party platform issues. Our total liability for any claim arising from the Service is limited to the amount you paid us in the three months preceding the claim.

10. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you violate these Terms, misuse the Service, or use it in a way that risks our WhatsApp platform access or violates Meta's policies.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll provide reasonable notice, such as an email or an in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in Kerala, India.
